3.4 Third-Party Materials. Where a project incorporates third-party software, plugins, or licensed assets, the Client's rights to those components are governed by the relevant third-party license, not by these Terms.
Payment Terms
Payment terms for each engagement are set out in the applicable SOW. Unless otherwise agreed in writing, the following general principles apply:
- An advance/deposit (typically 30–50% of project value) is payable before work commences
- Milestone payments are due upon completion of agreed project phases
- Final payment is due prior to final delivery, handover, or deployment
- Invoices unpaid beyond 14 days of the due date may attract a late payment charge and/or suspension of work at our discretion

Client Responsibilities
The Client agrees to provide timely feedback, access, content, and approvals reasonably required for Acleriatech to perform the services. Delays caused by the Client's failure to provide such cooperation may extend project timelines and are not attributable to Acleriatech.
Confidentiality
Both parties agree to keep confidential any non-public information disclosed in connection with a project, including business processes, technical specifications, financial information, and any information reasonably understood to be confidential or marked as such. This obligation survives the completion or termination of any engagement and continues indefinitely, except for information that becomes public through no fault of the receiving party.

Except as expressly stated in an SOW, the Site and our services are provided "as is" and "as available." To the extent permitted by law, we disclaim all implied warranties, including fitness for a particular purpose, and do not warrant that the Site or any delivered software will be uninterrupted, error-free, or free of vulnerabilities.
Limitation of Liability
To the maximum extent permitted under applicable Indian law:
- Acleriatech's aggregate liability arising out of or relating to an engagement shall not exceed the total fees actually paid by the Client to Acleriatech in the three (3) months immediately preceding the event giving rise to the claim
- Acleriatech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill, even if advised of the possibility of such damages
- Nothing in these Terms shall limit or exclude liability that cannot be limited or excluded under applicable law
Indemnification
The Client agrees to indemnify and hold Acleriatech harmless from any claims, damages, or expenses (including reasonable legal fees) arising from the Client's breach of these Terms, misuse of deliverables, or content/materials supplied by the Client that infringe the rights of a third party.
Termination
Either party may terminate an ongoing engagement by providing 14 days' written notice. Upon termination:
- The Client remains liable for payment for all work completed and expenses reasonably incurred up to the effective date of termination
- Acleriatech will deliver work-in-progress upon receipt of payment due for that stage
Acleriatech reserves the right to suspend or terminate access to the Site or services immediately, without notice, in the event of a material breach of these Terms, including non-payment.
